Terms of Service
The rules for using Resyno as a merchant or business user.
Agreement
By using Resyno, creating an account, generating a pass, starting a trial, subscribing, publishing a pass, or accessing the service, you agree to these Terms of Service, the Privacy Policy, the Cookie Policy, and the Data Processing Addendum where applicable.
Resyno is operated from The Netherlands. Company registration and VAT details are available on request unless separately published in an invoice, checkout, contract, or legal notice.
If you use Resyno on behalf of a company or organization, you confirm that you have authority to bind that company or organization to these Terms.
If you do not agree to these Terms, you must not use Resyno.
Business Use Only
Resyno is B2B SaaS for merchants, brands, webshops, agencies, and business users. Consumers should not subscribe directly.
By using Resyno, you confirm that you use the service for business or professional purposes and not primarily as a consumer.
Consumer withdrawal rights do not apply to business subscriptions unless mandatory law says otherwise.
Account And Workspace Responsibility
You are responsible for keeping your account secure, providing accurate information, and ensuring that workspace users are authorized.
You are responsible for all activity under your account or workspace, including pass content, billing actions, published links, QR codes, and support requests.
You must keep your login credentials, email account, OAuth accounts, and devices secure.
You must notify Resyno at resyno.support@gmail.com if you suspect unauthorized access, account misuse, or service misuse.
Merchant Content
You are solely responsible for pass content, text, offers, discounts, promo codes, campaign terms, QR destinations, links, images, logos, trademarks, business names, customer data, and legal compliance.
Resyno provides software infrastructure only. Resyno does not verify the legality, accuracy, ownership, availability, performance, profitability, or validity of merchant content.
You are responsible for making sure offers are truthful, available, correctly described, and supported by clear terms where needed.
You are responsible for customer support, fulfillment, refunds to your customers, campaign disputes, and merchant-customer communications related to your offers or passes.
Rights And Permissions
You warrant that you own or have permission to use all brand names, logos, trademarks, images, pass content, offers, QR destinations, links, and customer data used with Resyno.
You grant Resyno a limited, worldwide, non-exclusive license to host, process, store, transform, display, generate, sign, distribute, update, and operate merchant content only as needed to provide, secure, maintain, support, bill, and improve the service.
You are responsible for obtaining any rights needed from employees, contractors, agencies, licensors, customers, and other third parties.
If you upload or connect content from a public website, you confirm that you are allowed to use that website content for creating a Wallet pass.
Generated Previews
The generate feature may scan publicly available website metadata, images, icons, colors, and copy to suggest a draft pass.
Generated previews are suggestions only. They may be incomplete, inaccurate, outdated, visually imperfect, or unsuitable for your campaign.
You must review and edit generated pass content before testing, publishing, sharing, or using it with customers.
Resyno may limit, disable, throttle, or block generation to protect security, availability, third-party websites, or the Resyno service.
Apple Wallet Authorization
By using Resyno for Apple Wallet passes, you authorize Resyno to create, manage, rotate, renew, revoke, store, sign, host, and operate Apple Wallet-related infrastructure for your workspace and passes, including Pass Type IDs, Apple Wallet certificates, signing infrastructure, pass packages, serial numbers, Apple device library identifiers, APNs push tokens, Wallet web service endpoints, registration, update, unregister records, and related technical records.
This authorization is limited to providing, securing, maintaining, supporting, billing, and improving the Resyno service.
This authorization does not mean that you receive your own Apple Developer Account through Resyno.
Resyno may change technical Wallet infrastructure, certificate material, Pass Type IDs, signing methods, domains, or delivery routes where needed for security, reliability, compliance, or service operation.
Apple Wallet Disclaimer
Apple Wallet is a third-party platform. Apple is not responsible for passes created through Resyno, and Apple does not endorse, sponsor, or approve Resyno or merchant passes.
Resyno cannot guarantee Apple acceptance, display, compatibility, delivery, installation, updates, push behavior, certificate behavior, device behavior, removal, scanning, notifications, or future support.
Pass appearance and functionality may vary by iOS version, device, Apple Wallet changes, user settings, language, region, lock screen behavior, device permissions, and Apple platform rules.
Apple may change or discontinue relevant platform behavior at any time.
Testing, Publishing, And Updates
Test passes are for internal review and may not behave exactly like live passes.
Publishing a pass makes it available through public links, QR codes, and other distribution methods you choose.
You are responsible for reviewing pass content, links, QR destinations, images, offers, terms, colors, and legal notices before publishing or updating.
Updates to live passes may be delivered to installed passes where supported, but delivery is not guaranteed and may depend on Apple Wallet, device state, connectivity, permissions, APNs, and third-party platform behavior.
Changing workspace defaults, such as default brand identity, does not automatically update existing live passes or already installed Wallet passes unless the product explicitly performs a pass update.
Public Links, Public URLs, And QR Codes
Public pass links and QR codes can be accessed by anyone who receives, opens, scans, forwards, screenshots, or discovers them.
You are responsible for where links, QR codes, buttons, and emails are shared and for ensuring pass content is appropriate for the audience.
Public URLs may be changed only according to product limits. Old public URLs may remain active as aliases so previous campaigns, emails, and printed QR codes do not break.
Do not use public URLs, QR codes, or redirects for phishing, malware, deceptive campaigns, unauthorized tracking, or unlawful content.
Prohibited Use
You may not use Resyno for illegal, misleading, fraudulent, phishing, malware, spam, scraping, abusive, privacy-invasive, discriminatory, harmful, or intellectual-property-infringing activity.
You may not create fake coupons or misleading offers, impersonate others, use unauthorized brands or trademarks, use misleading Apple or Wallet branding, or process unauthorized customer data.
You may not submit sensitive or high-risk personal data in pass fields, including payment card data, bank details, government ID numbers, passwords, medical data, biometric data, exact location history, or children's data.
You may not use Resyno for regulated goods or services where illegal or unsupported, including unlawful financial products, illegal gambling, illegal drugs, counterfeit goods, weapons where prohibited, or age-restricted products without appropriate compliance.
You may not attempt to bypass security, usage limits, billing, access controls, rate limits, public URL restrictions, pass limits, or technical safeguards.
You may not violate Apple, Stripe, Supabase, Resend, Vercel, email, hosting, payment, privacy, consumer protection, advertising, promotion, or other third-party requirements.
Plans, Limits, And Fair Use
Plans may include limits on active passes, usage, features, support, sending, updates, or other service capabilities.
If you exceed plan limits, Resyno may block new passes, require an upgrade, limit features, pause publishing, or take other reasonable steps to protect the service.
Resyno may apply rate limits, abuse limits, storage limits, file limits, scanning limits, and operational limits even if they are not displayed in the app.
Features may differ between test, trial, free, paid, staging, preview, and production environments.
Free Trial, Billing, Cancellation, And Refunds
Resyno may offer a free trial. Trial length, plan, price, and included usage are shown in the product or Stripe Checkout at the time of signup.
If payment details are collected for a trial, you authorize Resyno and Stripe to charge the subscription price when the trial ends unless you cancel before the trial renews.
Paid subscriptions are billed in advance on a recurring basis. Prices may be monthly or otherwise stated in checkout.
Fees are non-refundable unless required by law or explicitly agreed by Resyno in writing.
Cancellation stops future renewals, not the current paid period. Access continues until the end of the paid period unless suspended or terminated under these Terms.
Taxes, VAT, and similar charges may be calculated by Stripe and added at checkout, on invoices, or as required by law.
If payment fails, Resyno may retry payment, suspend features, restrict publishing, downgrade, cancel, or terminate access after reasonable handling of the failed payment state.
Plan changes, upgrades, downgrades, auto-upgrade, auto-downgrade, usage enforcement, renewal behavior, and entitlement checks are handled according to the product settings and billing logic available at the time.
Third-Party Services
Resyno depends on third-party services including Apple, Stripe, Supabase, Resend, Vercel, browsers, device operating systems, email providers, DNS providers, and websites submitted for generation.
Third-party outages, policy changes, API changes, billing issues, email delivery issues, platform rules, device behavior, or account restrictions may affect the service.
You must comply with applicable third-party terms when using Resyno.
Availability And Changes
The service is provided as available. Resyno does not guarantee uninterrupted availability, pass delivery, pass installation, update delivery, install rates, push delivery, email delivery, QR scanning, uptime, or third-party platform behavior.
Resyno may change, suspend, limit, replace, or discontinue features for security, compliance, product, billing, technical, or operational reasons.
Resyno may perform maintenance, migrations, certificate changes, infrastructure changes, domain changes, or emergency fixes that affect availability or behavior.
Suspension And Termination
Resyno may suspend or terminate access for misuse, non-payment, legal or security risk, third-party platform violations, excessive support burden, fraudulent activity, or violations of these Terms.
Resyno may remove or disable passes, public links, QR codes, generated previews, or workspace access where needed for security, legal, abuse-prevention, billing, or platform-compliance reasons.
For the MVP, account deletion and export requests are handled through support at resyno.support@gmail.com.
Termination does not remove obligations that should reasonably survive, including payment obligations, merchant content responsibility, intellectual property, disclaimers, liability limits, indemnity, and dispute provisions.
Intellectual Property
Resyno owns the platform, software, UI, templates, systems, workflows, documentation, infrastructure, generated system logic, and product design.
Merchants own their merchant content. No rights are transferred except the limited rights needed to use and provide the service.
You may not copy, reverse engineer, resell, sublicense, scrape, benchmark publicly, or create a competing service using Resyno except where mandatory law permits.
Feedback
Resyno may use feedback, suggestions, requests, ideas, bug reports, and improvement proposals without obligation to you.
Disclaimers
The service is provided as is and as available to the maximum extent allowed by law.
Resyno does not guarantee specific business results, retention, revenue, conversion, Wallet installs, customer behavior, deliverability, scan rates, campaign performance, or legal compliance of merchant campaigns.
Resyno does not provide legal, tax, financial, marketing, consumer-law, or compliance advice.
Limitation Of Liability
To the maximum extent allowed by law, Resyno will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
Resyno will not be liable for lost profits, lost revenue, lost data, lost goodwill, business interruption, platform failure, customer claims, Apple behavior, Stripe, Supabase, Vercel, Resend, DNS, email, browser, device, APNs issues, or third-party changes.
Resyno's total liability is capped at the amount paid by the merchant to Resyno in the 12 months before the claim, unless applicable law requires otherwise.
The limitations apply regardless of legal theory, including contract, tort, negligence, strict liability, statute, or otherwise, to the maximum extent allowed by law.
Indemnity
You will indemnify and hold Resyno harmless from claims, losses, damages, fines, penalties, costs, and expenses arising from merchant content, offers, discounts, promotions, QR destinations, links, customer data, privacy violations, intellectual-property or trademark infringement, unlawful campaigns, consumer claims, tax or advertising issues, third-party platform violations, or misuse of the service.
Changes To Terms
Resyno may update these Terms from time to time.
Continued use of the service after an update means acceptance of the updated Terms.
Material changes may be notified in the app, by email, or by another reasonable method where appropriate.
Governing Law And Disputes
These Terms are governed by Dutch law, excluding conflict-of-law rules.
The courts of the Netherlands have exclusive jurisdiction unless mandatory law requires another forum.
Before starting formal proceedings, the parties should try to resolve disputes in good faith through support or written notice where reasonable.
